Mr. Kraus practices in the areas of real estate, healthcare, mergers and acquisitions and general corporate and business transactions.

Mr. Kraus represents buyers, sellers, landlords and tenants in all aspects of acquisitions, sales, financing and leasing of various residential and commercial properties. In the healthcare area, Mr. Kraus counsels physicians and physician practice groups in connection with their practice development, regulatory matters and general business matters, including the negotiation and preparation of shareholders agreements, operating agreements, partnership agreements, independent contractor agreements, employment agreements and other various agreements. In the business transaction area, Mr. Kraus negotiates, prepares and provides advice on all of the aforementioned agreements as well as employment related issues, including hiring, terminations, benefits and restrictive covenants, and drafting or reviewing the relevant contracts, policy statements and manuals for these purposes. In the mergers and acquisitions area, Mr. Kraus represents physicians, physician practice groups and other non-professional corporate entities in the acquisition and sale of assets and/or ownership interests, including the preparation and negotiation of asset sale and purchase agreements, stock sale and purchase agreements, membership interest sale and purchase agreements, and all of the various ancillary agreements applicable to such transactions.
